Tokenized Agent Disclaimer
The Tokenized Agent is a setting available for tokens launched using the pump.fun token launcher smart contract and tokens which use the pump decentralized exchange (together, with the related web and mobile applications, the "Pump Platform"). It is a voluntary setting enabled by a token creator, and no user of the Pump Platform is required to interact with tokens which use the Tokenized Agent setting ("Agent Tokens") to use the Platform. The Tokenized Agent is only a setting which allows certain automated smart contracts (described below in greater detail) to operate on tokens which use the setting. Although this setting enables users to use autonomous agent to conduct operations that relate to a token, the setting itself does not employ artificial intelligence, and is not an agent that operates autonomously.
What is the Tokenized Agent?
The purpose of the Tokenized Agent setting is to allow creators of tokens on the Pump Platform to automate buybacks of Agent Tokens. The Tokenized Agent conducts buybacks of Agent Tokens according to the parameters set by the creator of the Agent Token using assets deposited to the Agent Token Deposit address (defined below). The Tokenized Agent setting only affects the Agent Token, and will not operate on tokens which are or have been launched and do not opt into the Tokenized Agent setting.
The Tokenized Agent is an automated smart contract which allows a token creator to upload a skills.md file (the "Markdown File") upon token creation. The Markdown File must comply with the specifications here to be utilized in the Tokenized Agent setting. All Agent Tokens bought using the Tokenized Agent setting are burned, meaning that they are removed from the circulating supply of the Agent Token and cannot subsequently be resold.
The Tokenized Agent setting employs a smart contract function called the Tokenized Agent Authority to determine the amount of tokens used for buyback and burns of Agent Tokens. The Token Agent Authority uses a fixed percentage of the assets it controls to buyback tokens. The creator of an Agent Token can change this percentage at Agent Token creation, or at any subsequent time. Token buy backs occur on an hourly basis. The Token Agent Authority is centrally controlled by the Pump Platform. At no time does the Pump Platform control Agent Receipt Assets (defined below) that are not set by the token creator to be used for buy back and burn of the Agent Token.
For an Agent Token to be created, it must be funded with some Solana to purchase some Agent Tokens upon creation. The Tokenized Agent Authority may also receive assets deposited to a unique address. Each Tokenized Agent will have a unique deposit address (the "Agent Deposit Address") that any user can deposit certain tokens (initially these tokens will be limited to SOL, USDC, USDT, and USD1, the "Agent Receipt Assets"), which will be used for Agent Token buy back and burn, based on the percentages set by the token creator. Any assets sent to the Agent Deposit Address that are not used for buy back and burn can be claimed by the token creator. For all Agent Receipt Assets, the Tokenized Agent Authority automatically converts these assets into the Agent Token for the buy back and burn, and for non-Solana Agent Receipt Assets, this process involves the conversion of the Agent Receipt Asset to Solana through a routing process controlled automatically by the Tokenized Agent Authority.
Why is the Tokenized Agent part of the Pump Platform?
The Tokenized Agent is part of the Pump Platform to allow users to use agents to control the supply of tokens which they have created on the Pump Platform. Although any user can, without the Tokenized Agent, manually buy and burn tokens created on the Pump Platform, the Tokenized Agent setting allows users to do this in automated fashion. The Tokenized Agent setting therefore gives token creators the ability to automate buy back and burn of tokens they create in a fashion which can be dynamically adjusted.
Additionally, because the Tokenized Agent setting allows anyone to contribute assets for Agent Token buy back and burn, the Tokenized Agent setting allows token communities to coordinate the reduction of supply of their community tokens. The Tokenized Agent setting allows users of the Pump Platform to use revenue earned outside of the Pump Platform to support Agent Tokens. This will expand the utility of tokens which are created using the Pump Platform.
What Risks are Associated with the Tokenized Agent setting?
The Pump Platform, and all developers of the Pump Platform, do not control and therefore cannot take responsibility for any third parties (or third party sites) which route Agent Receipt Assets to the Tokenized Agent via the Agent Receipt Address.
IT IS THE SOLE RESPONSIBILITY OF A USER WHO CREATES AN AGENT TOKEN TO DETERMINE WHETHER ANY USE OF THE AGENT DEPOSIT ADDRESS COMPORTS WITH THE LAWS OF THE JURISDICTION TO WHICH THE TOKEN CREATOR IS SUBJECT. THE PUMP PLATFORM IS NOT RESPONSIBLE FOR ANY USER'S USE OF AN AGENT DEPOSIT ADDRESS.
All of the risks outlined in our terms and conditions are applicable to tokens created using the Tokenized Agent. The Tokenized Agent also creates additional risks in using the Pump Platform, including:
- Lack of Economic Value. The Tokenized Agent does not add value to tokens, even if an Agent Token is associated with a business or other going concern that may generate revenue to the token creator. Tokens do not have intrinsic value, and the Tokenized Agent does not change this fact.
- Security Risks. Although the Tokenized Agent is audited and designed using industry standard security practices, it is possible that the agent will malfunction or be exploited. The risk of these failures is borne by the user of the Pump Platform in all instances.
- Execution Risk. All tokens traded using the Pump Platform are traded through the smart contracts associated with the Platform. The Pump Platform strives to ensure that the token attributes such as price are accurately reflected in the web and mobile applications that make up the Pump Platform, however, the price reflected in such user interfaces is not necessarily the price that will be charged when a trade is executed.
- Market Manipulation. Token buybacks occur at fixed intervals using the Tokenized Agent. The Pump Platform discourages manipulation of token prices to the maximum extent possible. However, it is possible for users to collude in a fashion which could manipulate the price of tokens, including tokens using the Tokenized Agent. It is possible that other users will engage in practices like wash trading or collusion to intentionally impact the price of a token, and the Tokenized Agent may exacerbate or create opportunities to this because Agent Tokens may be purchased at fixed and predictable intervals. When using the Pump Platform, you are assuming the risks of economic loss from this type of activity.
- Securities Laws. The Pump Platform does not condone the use of the platform for the marketing and sale of investment products. It is the responsibility of the token creator to determine whether a token created represents a common investment scheme that is subject to registration in the jurisdiction in which the user resides. Agent Tokens are not intended to represent equity, ownership, or investment interests in any entity, platform, or in the agent. Agent Tokens do not represent shares, or other indicia of the ownership in a company or entity, do not confer governance rights over any project, and do not represent entitlement to profits, dividends, or revenue. All Agent Receipt Assets may only be claimed by the creator of the Agent Token, and ownership of the Agent Token does not confer any rights to any Agent Receipt Assets.
- No Expectation of Profit. Purchasing or holding an Agent Token should not be undertaken with the expectation of profit. Token value may fluctuate due to market conditions, speculation, or other factors unrelated to the activities of any agent. The Pump Platform does not guarantee any economic return or appreciation in token value.
- Buyback Mechanism. Certain Tokenized Agents may configure a buyback mechanism that allocates a portion of payments received by the Token Agent toward market purchases of the associated Agent Token. Buybacks are not guaranteed. Buybacks may occur irregularly or cease entirely. Past buybacks do not indicate that future buybacks will occur and no person should acquire a token because they believe that buybacks will occur in the future. Buybacks are not intended to increase token value, and may not increase token value. Buybacks may be modified or discontinued at any time. Buybacks are not, and should not be interpreted as dividends, revenue sharing, profit distribution or financial returns to token holders.
- Autonomous Agent Risk. Agents interacting with the Pump Platform may operate autonomously using artificial intelligence systems. As a result agent behavior may be unpredictable. Agents may generate inaccurate, misleading, or harmful outputs. Agents may fail to complete tasks or generate revenue. The Pump Platform does not control, supervise, or guarantee the behavior of any agent. Users interact with agents at their own risk.
- No Fiduciary Relationship. The Pump Platform, its operators, and developers do not act as financial advisors, brokers, custodians, or fiduciaries. Use of the Pump Platform (including Tokenized Agents) does not create any investment advisory relationship, fiduciary duty for any person, or financial management obligation. Users are solely responsible for their financial decisions, and it is the responsibility of the users creating Agent Tokens to determine if their use of the feature creates financial obligations to any third parties.
- Payment Processing. Agent Deposit Addresses may be used to accept payments from third parties for the token creator. The Pump Platform does not guarantee payment processing and does not provide payment processing services. The Pump Platform does not guarantee delivery of goods or services promised by users who control or can access Agent Deposit Addresses. The Pump Platform is not an escrow service, does not act as an escrow service, and will not process return requests for any assets deposited into an Agent Deposit Address. The Pump Platform does not verify the legitimacy of Token Agents, their offering, or third party sites directing persons to transfer assets to an Agent Deposit Address. ASSETS DEPOSITED TO AGENT DEPOSIT ADDRESSES ARE NON-REFUNDABLE, FINAL, AND MADE SOLELY AT THE RISK OF THE DEPOSITER.
- No Responsibility for Agent Services. Agent Tokens creators may create and sell goods or services (for example digital content, software, or physical goods). The Pump Platform (and its operators and developers) do not review or approve these goods or services or guarantee their quality, legality or fitness for any particular purpose. The Pump Platform does not assume responsibility for disputes between users of third party sites, including anyone who deposits assets into an Agent Deposit Address, and will not adjudicate such disputes. Any transaction using an Agent Deposit Address is solely between the token creator or other person who has the ability to claim assets from the Agent Deposit Address and such a third party that makes a deposit.
- Regulatory Uncertainty. Digital assets and autonomous agents operate in a rapidly evolving regulatory environment. Agentic payments are subject to evolving regulatory regimes in different jurisdictions. Certain aspects of the Tokenized Agentic may be discontinued, altered, or modified for regulatory reasons in certain jurisdictions.
- No Guarantee of Token Agent Revenue. Token Agent, or users with access to Agent Receipt Addresses may attempt to generate revenue through various activities such as creating digital goods, providing services, or operating online businesses. However revenue generation is uncertain. Projects using Tokenized Agents may fail. NO USER OR TOKEN HOLDER SHOULD RELY ON ANY AGENT TOKEN OR TOKENIZED AGENT TO GENERATE REVENUE OR A SUCCESSFUL BUSINESS.
- Market Risk. Token markets may be highly volatile. Token prices may be affected by speculative activity which is related or unrelated to Token Agents. USERS MAY LOSE THE ENTIRE VALUE OF AGENT TOKENS.
BY ACCESSING, USING, OR INTERACTING WITH THE PUMP PLATFORM, ANY TOKENIZED AGENT, AGENT TOKENS OR ANY ASSOCIATED DIGITAL ASSET OR TOKEN, YOU ACKNOWLEDGE AND AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR YOUR OWN ACTIONS, DECISIONS, AND USE OF THE PUMP PLATFORM. YOU FURTHER REPRESENT AND WARRANT THAT YOU HAVE CONDUCTED YOUR OWN INDEPENDENT RESEARCH, DUE DILIGENCE, AND RISK ASSESSMENT WITH RESPECT TO THE PUMP PLATFORM, ANY TOKENIZED AGENT, AGENT TOKENS, AND ANY ASSOCIATED TOKENS OR DIGITAL ASSETS, INCLUDING WITHOUT LIMITATION THE LEGAL, FINANCIAL, TECHNICAL, OPERATIONAL, AND REGULATORY RISKS INVOLVED.
YOU ACKNOWLEDGE THAT THE PUMP PLATFORM, TOKENIZED AGENTS, AND ANY AGENT TOKENS ARE EXPERIMENTAL TECHNOLOGIES OPERATING ON BLOCKCHAIN INFRASTRUCTURE AND MAY INVOLVE SIGNIFICANT RISKS, INCLUDING BUT NOT LIMITED TO LOSS OF DIGITAL ASSETS, SMART CONTRACT VULNERABILITIES, SOFTWARE BUGS, NETWORK FAILURES, SECURITY BREACHES, AUTONOMOUS AGENT MALFUNCTIONS, AND MARKET VOLATILITY. YOU FURTHER ACKNOWLEDGE THAT TOKEN PRICES MAY BE HIGHLY SPECULATIVE AND VOLATILE AND THAT YOU MAY LOSE SOME OR ALL OF THE VALUE OF ANY TOKENS YOU ACQUIRE OR HOLD.
YOU AGREE THAT THE PUMP PLATFORM, ITS OPERATORS, DEVELOPERS, AFFILIATES, CONTRIBUTORS, SERVICE PROVIDERS, AND ANY PERSON OR ENTITY ASSOCIATED WITH THE DEVELOPMENT, OPERATION, OR MAINTENANCE OF THE PUMP PLATFORM DO NOT PROVIDE LEGAL, FINANCIAL, TAX, INVESTMENT, OR OTHER PROFESSIONAL ADVICE, AND NOTHING MADE AVAILABLE THROUGH THE PUMP PLATFORM SHALL BE INTERPRETED OR RELIED UPON AS SUCH ADVICE. YOU ARE SOLELY RESPONSIBLE FOR SEEKING INDEPENDENT PROFESSIONAL ADVICE FROM QUALIFIED ADVISORS REGARDING YOUR USE OF THE PUMP PLATFORM AND THE CREATION, USE, AND MONETIZATION OF A TOKENIZED AGENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU ASSUME FULL RESPONSIBILITY AND LIABILITY FOR ANY AND ALL RISKS ASSOCIATED WITH YOUR USE OF THE PUMP PLATFORM, YOUR CREATION OF AND INTERACTIONS WITH ANY TOKENIZED AGENT, AND YOUR ACQUISITION, HOLDING, TRANSFER, OR USE OF ANY ASSOCIATED TOKENS OR DIGITAL ASSETS. YOU FURTHER AGREE THAT THE PUMP PLATFORM AND ITS OPERATORS SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSSES, DAMAGES, CLAIMS, OR LIABILITIES OF ANY KIND, WHETHER DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR OTHERWISE, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THE PUMP PLATFORM, YOUR RELIANCE ON ANY INFORMATION PROVIDED THROUGH THE PUMP PLATFORM, OR YOUR INTERACTIONS WITH ANY TOKENIZED AGENT, AGENT TOKEN OR AGENT RECEIPT ADDRESS.
YOU ARE SOLELY RESPONSIBLE FOR ENSURING THAT YOUR USE OF THE PUMP PLATFORM COMPLIES WITH ALL LAWS, REGULATIONS, AND TAX OBLIGATIONS APPLICABLE IN YOUR JURISDICTION.
