Referral Rewards Program Terms

1. The Program

These Referral Rewards Program Terms (these “Program Terms”) govern the pump.fun referral rewards program (the “Program”). The Program is offered by Pump.fun (including, without limitation, all persons and entities who are responsible for the ownership, maintenance, development and upkeep of the web interface located at pump.fun, any mobile applications associated with pump.fun, and all smart contracts which may be interacted with through the pump.fun web or mobile interface) (“Pump.fun”, “we”, “us” or “our”).

Under the Program, an eligible existing user of the pump.fun platform (a “Referrer”) may invite a person who has never used the pump.fun platform (a “Referred User”) to begin using the pump.fun platform, apply the Referrer’s Referral Code (defined below), make a first purchase of Digital Assets through an Integrated Provider (defined below) and then trade on the pump.fun platform. If the Referred User makes a Qualifying Deposit (defined below) during the Program Period and then completes Qualifying Trading Days (defined below) within the Earning Window (defined below), the Referred User and the Referrer each receive the same Reward (defined below), paid in matching installments as the Referred User trades, subject to our review and the other conditions in these Program Terms. A Qualifying Deposit alone does not earn any Reward for either of them.

These Program Terms supplement, and are in addition to, the pump.fun Terms and Conditions (as may be amended from time to time, the “General Terms”), which are incorporated into these Program Terms by reference. Capitalized terms used but not defined in these Program Terms have the meanings given to them in the General Terms. By participating in the Program in any way, including by sharing or applying a Referral Code, you agree to these Program Terms and to the General Terms. If you do not agree, do not participate in the Program.

2. Program Period and Eligible Territories

2.1 Program Period. The Program begins on the “Last updated” date stated above and continues until the earlier of (a) the date on which the Program Budget (defined in Section 5.1) is exhausted, and (b) the date on which we end the Program under Section 10 (the “Program Period”). Only a Qualifying Deposit that is completed and confirmed during the Program Period can give rise to a Reward.

2.2 Eligible Territories. The Program is available in every country and territory other than the following (each, an “Excluded Territory”):

• (a) a Prohibited Country under the General Terms;
• (b) the United Kingdom;
• (c) any other country or territory in which the pump.fun platform, or the Integrated Provider through which the Qualifying Deposit is made, is not made available; and
• (d) any other country or territory that we list below from time to time.

Additional Excluded Territories: none at this time.

Every country and territory that is not an Excluded Territory is an “Eligible Territory”. We may designate any country or territory as an Excluded Territory at any time, for any reason, by updating this page, and may later remove it from the list. A person is eligible to participate in the Program only if, at the time of participation, that person is located in, and ordinarily resident in, an Eligible Territory. Both the Referrer and the Referred User must be located in an Eligible Territory. If a country or territory becomes an Excluded Territory during an Earning Window, no further installment will be credited to a participant located or resident there. The Program is void where prohibited or restricted by law.

3. Eligibility

3.1 To participate as a Referrer or as a Referred User, you must:

• (a) be a natural person, acting on your own behalf and not on behalf of any business, organization or other person, who is at least 18 years of age and of the legal age of majority in your jurisdiction;
• (b) satisfy all eligibility requirements under the General Terms, and not be suspended, restricted or terminated from the pump.fun platform;
• (c) be located in and ordinarily resident in an Eligible Territory, and not access the Program through a VPN, proxy or other means that conceals or misrepresents your location;
• (d) participate in the Program through a single Wallet and a single identity, and not use or control any other Wallet, device, Integrated Provider account or identity for the purpose of participating in the Program; and
• (e) have completed any identity verification, fraud screening or other checks that we or our service providers require, and provide any information we reasonably request in connection with the Program.

3.2 To be a Referred User, you must in addition be a new user. You must have first begun using the pump.fun platform on or after the start of the Program Period; you must have applied the Referrer’s Referral Code in the pump.fun mobile application (or such other pump.fun interface as we designate for the Program) before making any purchase of Digital Assets through an Integrated Provider; and neither you, nor any Wallet, blockchain address, device, Integrated Provider account, email address or other identity that we determine is linked to you, may previously have received a Reward as a Referred User. Each person may receive a Reward as a Referred User only once, whatever the number of Wallets, blockchain addresses, devices, identities, email addresses, Integrated Provider accounts or funding methods that person uses.

3.3 Officers, directors, employees, contractors and agents of the Pump Entities and their affiliates, and members of their immediate families or households, are not eligible to receive Rewards.

3.4 We may determine your eligibility, and whether a deposit is a Qualifying Deposit, in our sole discretion, and our determination is final.

4. How the Program Works

4.1 Referral Codes. An eligible Referrer may obtain a unique referral code, which may be presented as a code or as a link, from the pump.fun platform (a “Referral Code”). A referral is attributed to a Referrer only if the Referred User applies the Referrer’s Referral Code in the pump.fun mobile application (or such other pump.fun interface as we designate for the Program) before the Referred User’s first purchase of Digital Assets through an Integrated Provider. Sharing a Referral Code, or a Referred User’s use of a link, does not by itself attribute a referral. A Referral Code may be used only as permitted by these Program Terms and Section 7 (Referrer Conduct).

4.2 Qualifying Deposit. An “Integrated Provider” is a third-party payment provider that is integrated with the pump.fun platform, at the relevant time, for the purchase of Digital Assets with fiat currency for delivery to a user’s Wallet. We do not identify Integrated Providers in these Program Terms; the providers available may change at any time. A “Qualifying Deposit” is the first purchase of Digital Assets by the Referred User through an Integrated Provider that meets all of the following conditions:

• (a) it is completed during the Program Period, after the Referred User has applied the Referrer’s Referral Code in accordance with Section 4.1;
• (b) it is made by the Referred User, using the Referred User’s own Integrated Provider account and funding source, and the purchased Digital Assets are delivered to a Wallet that the Referred User owns and controls;
• (c) it has a U.S. dollar value, as determined by us under Section 4.5, of at least US$1; and
• (d) it is not reversed, refunded, cancelled or charged back, and the purchased Digital Assets are not withdrawn from the Wallet, before the final installment of the Reward is credited; if it is, every installment of the Reward that has not yet been credited is forfeited.

Only the Referred User’s first purchase through an Integrated Provider is a Qualifying Deposit. Later purchases are not Qualifying Deposits. A transfer of Digital Assets into a Wallet from another blockchain address, from an exchange or by any means other than a purchase through an Integrated Provider is not a Qualifying Deposit and does not count toward a Qualifying Deposit, although a Wallet that has received Digital Assets by such a transfer is not for that reason alone disqualified from the Program. References in these Program Terms to a “deposit” mean a purchase of Digital Assets through an Integrated Provider for delivery to a Wallet. Your purchase is made with the Integrated Provider, under the Integrated Provider’s own terms and subject to its identity-verification and other requirements; the Pump Entities are not a party to that purchase and do not receive, hold or custody the purchased Digital Assets or the fiat currency you pay.

4.3 Match Base and Rewards. When a Referred User makes a Qualifying Deposit, a match base is set for that referral equal to the lesser of (a) the U.S. dollar value of the Qualifying Deposit and (b) US$50 (the “Match Base”). The Referred User and the Referrer may each earn a reward of up to the Match Base (each, a “Reward”), but only by the Referred User completing Qualifying Trading Days within the Earning Window as described in Section 4.4. A Qualifying Deposit does not by itself earn any Reward or any part of a Reward. By way of example only, a Qualifying Deposit with a U.S. dollar value of US$20 sets a Match Base of US$20, and a Qualifying Deposit with a U.S. dollar value of US$500 sets a Match Base of US$50. Each installment of a Reward is credited only if the Qualifying Deposit, the relevant Qualifying Trading Day and the participants pass our review under Section 8, and is otherwise subject to these Program Terms.

4.4 Qualifying Trading Days and installments. A “Qualifying Trading Day” is a calendar day, determined by reference to Coordinated Universal Time (UTC), on which the Referred User completes one or more Transactions on the pump.fun platform that we determine to be bona fide trading activity, using the Wallet to which the Qualifying Deposit was delivered. The “Earning Window” is the period of ten (10) days beginning on the day the Qualifying Deposit is confirmed. Each Reward is released in installments, one for each of the Referred User’s first five (5) Qualifying Trading Days within the Earning Window, as follows:

• (a) first Qualifying Trading Day: one-sixth (1/6) of the Match Base;
• (b) second Qualifying Trading Day: one-sixth (1/6) of the Match Base;
• (c) third Qualifying Trading Day: one-sixth (1/6) of the Match Base;
• (d) fourth Qualifying Trading Day: one-sixth (1/6) of the Match Base; and
• (e) fifth Qualifying Trading Day: two-sixths (2/6) of the Match Base.

Only Qualifying Trading Days that fall within the Earning Window count. Any installment that has not been earned by the end of the Earning Window is forfeited and will not be paid, even if the Referred User trades afterwards. Qualifying Trading Days need not be consecutive.

The Referrer’s Reward mirrors the Referred User’s Reward. Both Rewards are computed from the same Match Base, and each Qualifying Trading Day completed by the Referred User releases the same installment, at the same time, to both the Referred User and the Referrer. Every condition for earning an installment is measured by reference to the Referred User’s activity only: the Referrer is not required to make any deposit or complete any Transaction to receive the Referrer’s Reward, and nothing the Referrer does or fails to do (other than conduct described in Section 7 or Section 8) affects the release of an installment. An installment that the Referred User fails to earn within the Earning Window is forfeited by both the Referred User and the Referrer. The Referrer’s installments are credited to the Wallet associated with the Referrer’s Referral Code. By way of example only, a Referred User whose Qualifying Deposit has a U.S. dollar value of US$50 and who trades on only one Qualifying Trading Day within the Earning Window earns, at most, the first installment of approximately US$8.33, and the Referrer receives approximately US$8.33 at the same time; the remaining approximately US$41.67 of each Reward is paid only if the Referred User completes four further Qualifying Trading Days within the Earning Window, and is otherwise forfeited by both.

4.5 Form and valuation. Each installment of a Reward is credited in SOL, USDC or such other Digital Asset as we select, in a quantity that we determine to be equivalent to the U.S. dollar amount of that installment at the time of crediting, using the exchange rate, pricing source and rounding conventions that we select in our sole discretion. Installment amounts are calculated in U.S. dollars and rounded as we determine. The U.S. dollar value of a Qualifying Deposit is the U.S. dollar amount of the purchase as reported to us by the Integrated Provider, before the Integrated Provider’s fees, or, for a purchase made in another fiat currency, that amount converted to U.S. dollars by us at the time the purchase is confirmed, using the exchange rate and pricing source that we select. We are not responsible for any change in the value of a Reward, or of the Digital Asset in which it is paid, after it is credited.

4.6 Timing. Each installment of a Reward is credited after our review of the Qualifying Deposit, the relevant Qualifying Trading Day and the participants is complete. We do not commit to complete our review, or to credit any installment, within any particular time, and we may delay crediting any installment for any period we consider necessary, including until the end of the Earning Window. No installment is earned, and no right to any installment arises, until it has been credited. Once credited, an installment is delivered to the recipient’s Wallet and is not held, controlled or restricted by us.

5. Program Budget and Limits

5.1 Program Budget. The total value of Rewards available under the Program is limited to a budget that we determine (the “Program Budget”), which we may allocate across Eligible Territories, periods or channels as we determine. Rewards are available on a first-come, first-served basis while the Program Budget lasts. When the Program Budget is exhausted, the Program ends and no further Rewards will be credited, even for Referral Codes that were shared or applied before that time.

5.2 Limits. We may, at any time and in our sole discretion, limit the number of Rewards that any Referrer may earn, in total or in any period, and may apply different limits to different Referrers, Eligible Territories, periods or channels. Referral Codes applied after a limit applies do not generate a Reward for the Referrer or for the Referred User.

6. Nature of Rewards

6.1 Rewards are a discretionary promotional incentive. Rewards are not deposits, interest, dividends, income, yield, a return on any investment, compensation for services, or a payment for the sale of any good or service. Rewards have no cash value except as credited, may not be exchanged for cash or any other consideration from us, and may not be sold, assigned or transferred before they are credited.

6.2 Rewards do not represent any equity, ownership, creditor, profit-sharing or other interest in Pump.fun, any Pump Entity or any Digital Asset issuer, and are not offered or sold as securities, commodities, derivatives or any other regulated financial instrument.

6.3 We may substitute a Reward of equivalent value in a different Digital Asset, or in another form, at any time.

6.4 Neither a Referral Code, a Qualifying Deposit, a Match Base, a Qualifying Trading Day, nor any installment of a Reward that has not yet been credited creates any contractual right to a Reward, any property right, or any obligation on our part, other than as expressly stated in these Program Terms.

7. Referrer Conduct

7.1 A Referrer may share his or her Referral Code only with persons who the Referrer reasonably believes are eligible to participate and would want to receive it, and only through personal communications, the Referrer’s own social media accounts, or other channels that we expressly permit.

7.2 In connection with the Program, a Referrer must not:

• (a) send unsolicited bulk or commercial messages (spam), or post a Referral Code on a website, forum, coupon or deal site, or other channel where it is not permitted or would violate that channel’s terms;
• (b) purchase paid advertising, sponsored placements, search-engine keywords or paid promotion that includes a Referral Code, or that uses the pump.fun name, marks or branding, without our prior written consent;
• (c) make any statement about the Program, pump.fun, the pump.fun platform, any Digital Asset or any Reward that is false, misleading, deceptive or unsubstantiated, including any statement that a Reward is guaranteed, that Digital Assets will increase in value, or that any person will make a profit;
• (d) impersonate Pump.fun or any Pump Entity, represent that the Referrer is an agent, employee, partner or representative of Pump.fun, or use the pump.fun name, marks or branding other than in accordance with the pump.fun Trademark Guidelines;
• (e) share a Referral Code with, or promote the Program to, any person who the Referrer knows or should reasonably know is not eligible, including any person under 18 years of age or any person outside an Eligible Territory;
• (f) offer or pay any person any inducement, rebate or share of a Reward in exchange for applying a Referral Code, or otherwise buy or sell referrals; or
• (g) engage in any conduct described in Section 8.

7.3 Where a Referrer promotes the Program publicly, the Referrer is solely responsible for complying with all Applicable Law relating to advertising, endorsements and financial promotions in the Referrer’s jurisdiction and the jurisdiction of each recipient, including any obligation to clearly disclose that the Referrer may receive a Reward if the recipient applies the Referral Code.

8. Review, Fraud and Abuse

8.1 Genuine use. The Program exists to welcome new users to the pump.fun platform. A Reward may be withheld if we reasonably believe that a deposit was made mainly to obtain a Reward rather than to use the pump.fun platform, or that a Referrer, a Referred User or any person acting with them has engaged in, or attempted, any of the following, which are examples and not an exhaustive list:

• (a) referring himself or herself, including through additional Wallets, blockchain addresses, devices, identities, email addresses or Integrated Provider accounts;
• (b) generating or using multiple Wallets, devices, identities or Integrated Provider accounts, or coordinating with other persons, to obtain Rewards;
• (c) making a purchase to obtain a Reward and then withdrawing, reversing, refunding, charging back or cycling the purchased Digital Assets or the fiat currency paid, or otherwise making a deposit that is not a bona fide purchase for the Referred User’s own use;
• (d) completing Transactions mainly to generate Qualifying Trading Days rather than as bona fide trading activity, including wash trading, trading between Wallets or persons acting together, or nominal or offsetting Transactions;
• (e) using an Integrated Provider account, payment method or identity that is not the participant’s own, or using bots, scripts, automated tools, stolen or synthetic identities, or any other means to generate Wallets, deposits or referrals;
• (f) misrepresenting location, identity, age or eligibility, or using a VPN, proxy or other means to circumvent Section 2.2 or Section 3;
• (g) breaching Section 7 (Referrer Conduct);
• (h) any conduct that violates the General Terms, Applicable Law or the rights of any third party; or
• (i) any other conduct that we consider, in our sole discretion, to be inconsistent with the purpose and spirit of the Program or with normal use of the pump.fun platform.

8.2 How we review. We review deposits, Transactions, Referral Codes and participants using automated systems and, where we consider it necessary, manual review. Our review considers information such as Wallet, blockchain address, device, Integrated Provider, funding method, location and platform-activity signals. We do not disclose the specific criteria, signals or thresholds we use, because doing so would help people circumvent them.

8.3 Our discretion. If we determine, in our sole discretion, that Section 8.1 applies, we may withhold, delay, reduce, revoke, reverse or reclaim any Reward or any installment of a Reward (whether or not it has been credited), reverse any determination that a deposit is a Qualifying Deposit or that a day is a Qualifying Trading Day, invalidate any Referral Code, suspend or withdraw a Referrer’s ability to participate in the Program, and suspend, restrict or terminate access to the pump.fun platform for any Wallet. We are not required to give the reason for any decision, and our decisions are final.

8.4 You authorize us to deduct from your Wallet, to the extent we are technically able to do so, the value of any Reward or installment that is revoked, reversed or reclaimed under this Section 8, and you agree to return to us on demand the value of any such Reward or installment that we are unable to deduct. Our rights under this Section 8 are in addition to our rights under the General Terms.

8.5 We may investigate any suspected fraud or abuse, may require any participant to provide information or documentation, and may share information relating to suspected fraud or abuse with our service providers, other participants (to the extent of their own status only), law enforcement and regulators.

8.6 Questions and review. If you believe that a deposit or a trading day was declined, or a Reward or installment was withheld, in error, you may contact pump support via the link on the pump.fun homepage. We may, but are not obliged to, review the decision. The outcome of any review is final, and Section 8.2 applies to any review.

9. Taxes

You are solely responsible for determining the tax treatment of any Reward you receive (or are deemed to receive) and for reporting and paying any taxes that apply. We may require you to provide tax identification information or documentation as a condition of receiving any Reward, may withhold or deduct from any Reward any amount we are required by Applicable Law to withhold, and may report Rewards to tax authorities where required. We do not provide tax, legal or investment advice.

10. Changes to and Termination of the Program

10.1 We may modify these Program Terms, and may modify, suspend or terminate the Program or any part of it (including the Match Base, the installment schedule, the Earning Window, the Qualifying Deposit and Qualifying Trading Day requirements, the Program Budget, the limits under Section 5.2, the Excluded Territories and the Program Period), at any time and for any reason, with or without notice, by updating this page or by such other means as we consider appropriate. Changes are effective when posted unless a different effective date is stated.

10.2 An installment of a Reward that was credited before a modification, suspension or termination takes effect remains subject to these Program Terms as in effect at the time it was credited, except that we may revoke any installment at any time under Section 8. A Referral Code that was shared or applied, a Qualifying Deposit that was made, or a Qualifying Trading Day that was completed, before a modification, suspension or termination does not entitle anyone to any installment under the previous terms if that installment had not been credited when the change took effect.

10.3 We may end the Program early, without notice, if the Program Budget is exhausted, if we are unable to run the Program as planned for any reason (including fraud, technical failure, or any change in Applicable Law or regulatory guidance), or for any other reason.

10.4 Your continued participation in the Program after a change to these Program Terms constitutes your acceptance of the change.

11. Privacy

We process personal data in connection with the Program, including Wallet and blockchain address, device, location, purchase, Transaction and referral information, in accordance with the pump.fun Privacy Notice, including for the purposes of administering the Program and detecting and preventing fraud. We receive from each Integrated Provider confirmation of purchases made through it, including the amount and status of the purchase, for those purposes. Your relationship with an Integrated Provider, including any account you hold with it and the information you provide to it, is governed by the Integrated Provider’s own terms and privacy policy. A Referrer may be able to see limited information about the status of referrals made through the Referrer’s Referral Code (for example, that a referral has been completed, or that an installment has been credited), but not the Referred User’s blockchain address, deposit amount, Transactions or other details. By applying a Referral Code, a Referred User acknowledges that the Referrer may learn that the Referred User has begun using the pump.fun platform, made a Qualifying Deposit and completed Qualifying Trading Days.

12. Disclaimers

THE PROGRAM, REFERRAL CODES AND REWARDS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE GENERAL TERMS, PUMP.FUN DOES NOT REPRESENT OR WARRANT THAT THE PROGRAM WILL BE AVAILABLE, UNINTERRUPTED OR ERROR-FREE; THAT ANY REFERRAL CODE WILL FUNCTION OR THAT ANY REFERRAL WILL BE CORRECTLY ATTRIBUTED; THAT ANY DEPOSIT WILL QUALIFY FOR A REWARD OR THAT ANY DAY WILL BE A QUALIFYING TRADING DAY; THAT ANY REWARD OR INSTALLMENT WILL BE CREDITED BY ANY PARTICULAR TIME; OR THAT ANY REWARD OR THE DIGITAL ASSET IN WHICH IT IS PAID WILL HAVE OR RETAIN ANY PARTICULAR VALUE. DIGITAL ASSETS ARE VOLATILE, AND THE VALUE OF A REWARD MAY DECLINE, INCLUDING TO ZERO. PUMP.FUN IS NOT RESPONSIBLE FOR ANY REFERRAL THAT IS NOT ATTRIBUTED TO A REFERRAL CODE FOR ANY REASON, INCLUDING A REFERRAL CODE THAT WAS NOT APPLIED OR WAS APPLIED AFTER A FIRST PURCHASE, BROWSER OR DEVICE SETTINGS, USE OF A DIFFERENT DEVICE, OR TECHNICAL ERROR. PUMP.FUN IS NOT RESPONSIBLE FOR ANY INTEGRATED PROVIDER, INCLUDING ITS AVAILABILITY, ITS FEES, ITS IDENTITY-VERIFICATION DECISIONS, OR ANY DELAY, FAILURE OR REVERSAL OF ANY PURCHASE.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PUMP.FUN, INCLUDING, WITHOUT LIMITATION, ITS OWNERS, OPERATORS, DEVELOPERS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, PERSONNEL, AGENTS, REPRESENTATIVES, SUCCESSORS AND ASSIGNS, SHALL NOT BE LIABLE FOR ANY CLAIM, LOSS, DAMAGE, LIABILITY, COST OR EXPENSE OF ANY KIND ARISING OUT OF OR RELATING TO THE PROGRAM, ANY REFERRAL CODE, ANY REWARD, ANY DEPOSIT, ANY INTEGRATED PROVIDER, OR YOUR PARTICIPATION OR INABILITY TO PARTICIPATE IN THE PROGRAM, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, STATUTE OR ANY OTHER LEGAL OR EQUITABLE THEORY, INCLUDING ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, LOSS OF PROFITS, TRADING LOSSES, OR LOSS RESULTING FROM PRICE VOLATILITY. IN NO EVENT SHALL PUMP.FUN’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PROGRAM EXCEED THE GREATER OF (A) U.S. $100.00 AND (B) THE U.S. DOLLAR VALUE, AT THE TIME OF CREDITING, OF THE REWARD INSTALLMENTS CREDITED TO YOU UNDER THE PROGRAM THAT GIVE RISE TO THE CLAIM, TO THE EXTENT SUCH LIMITATION IS PERMITTED BY APPLICABLE LAW.

14. Indemnification

To the fullest extent permitted by Applicable Law, you agree to defend, indemnify and hold harmless Pump.fun, including, without limitation, its owners, operators, developers, affiliates, licensors, service providers, personnel, agents, representatives, successors and assigns, from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys’ fees) arising out of or relating to your participation in the Program, your sharing or application of any Referral Code, your purchase through any Integrated Provider, any statement you make about the Program or pump.fun, or your breach of these Program Terms, the General Terms or Applicable Law.

15. Incorporation of General Terms; Arbitration; Class Action Waiver; Jury Trial Waiver

15.1 Your participation in the Program, and your access to and use of the pump.fun platform, are subject to the General Terms, which are incorporated into these Program Terms by reference to the fullest extent permitted by Applicable Law. In the event of any conflict between these Program Terms and the General Terms, these Program Terms control with respect to the Program only, and the General Terms control in all other respects.

15.2 BY PARTICIPATING IN THE PROGRAM, YOU ACKNOWLEDGE AND AGREE THAT YOU HAVE READ AND UNDERSTAND THE GENERAL TERMS AND THAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY DISPUTE, CLAIM OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE PROGRAM TERMS, THE PROGRAM, ANY REFERRAL CODE OR ANY REWARD SHALL BE SUBJECT TO THE BINDING INDIVIDUAL ARBITRATION PROVISION SET FORTH IN THE GENERAL TERMS. YOU FURTHER ACKNOWLEDGE AND AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU ARE WAIVING ANY RIGHT TO A TRIAL BY JURY AND ANY RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION OR OTHER REPRESENTATIVE PROCEEDING, AND THAT YOU MAY BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITY, ALL AS MORE PARTICULARLY SET FORTH IN THE GENERAL TERMS.

15.3 The governing law, dispute resolution, limitation of liability, indemnification, disclaimer, assignment and survival provisions of the General Terms apply to these Program Terms.

16. General

16.1 The Program is not a lottery, sweepstakes, contest or game of chance. Eligibility for a Reward is determined by the completion of a Qualifying Deposit and Qualifying Trading Days, our review under Section 8 and the other conditions in these Program Terms, and not by chance.

16.2 If any provision of these Program Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

16.3 Our failure to enforce any provision of these Program Terms is not a waiver of that provision or of our right to enforce it later.

16.4 You may not assign or transfer your rights under these Program Terms, any Referral Code or any Reward. We may assign our rights and obligations under these Program Terms at any time without notice.

16.5 Sections 5 through 9 and 12 through 16 survive the end of the Program Period and any termination of the Program or of your access to the pump.fun platform.
